  10. IMPORTANT-READ CAREFULLY: This Microsoft  License Agreement ("License") 
  11. is a legal agreement between you (either an individual or a single entity) 
  12. and Microsoft Corporation for the Microsoft software product identified 
  13. above, which includes computer software and may include associated media, 
  14. printed materials, and "online" or electronic documentation ("SOFTWARE 
  15. PRODUCT").  By downloading, installing, copying, or otherwise using the 
  16. SOFTWARE PRODUCT, you agree to be bound by the terms of this License.  
  17. If you do not agree to the terms of this License, do not install or use 
  18. the SOFTWARE PRODUCT.
  19.  
  20. IMPORTANT - LICENSED FOR DEVELOPMENT PURPOSES ONLY.  
  21. DISTRIBUTION PROHIBITED.  
  22. This Software Product is provided for internal development purposes 
  23. only.  Separate license agreements with Microsoft Corporation and with 
  24. Sega Enterprises, Ltd. are required to distribute or reproduce any titles, 
  25. games, applications or other products developed with the Software Product.

  27. SOFTWARE PRODUCT LICENSE
  28. The SOFTWARE PRODUCT is protected by copyright laws and international 
  29. copyright treaties, as well as other intellectual property laws and 
  30. treaties. The SOFTWARE PRODUCT is licensed, not sold.
  31.  
  32. 1.  GRANT OF LICENSE.  This License grants you the following rights:
  33.  
  34.     a.  SOFTWARE PRODUCT. Microsoft grants to you, a personal, 
  35.         nonexclusive and limited license to make and use a reasonable 
  36.         number of copies of the SOFTWARE PRODUCT for the sole purposes 
  37.         of developing and testing your games and other software 
  38.         product(s) for use with the Microsoft Windows CE for Dreamcast 
  39.         operating system on the Sega Dreamcast game console ("Product").  
  40.         You may install copies of the SOFTWARE PRODUCT on computers 
  41.         and Sega Dreamcast development consoles you use for development 
  42.         of the Products. 
  43.  
  44.     b.  Electronic Documents. Solely with respect to electronic documents 
  45.         included with the SOFTWARE PRODUCT, you may make an unlimited 
  46.         number of copies (either in hardcopy or electronic form), 
  47.         provided that such copies shall be used only for internal 
  48.         purposes and only for the development and testing purposes 
  49.         described in Section 1(a) above.  The electronic documents may 
  50.         not published or distributed to any third party.
  51.     
  52.     c.  Sample Code. Microsoft grants you the non-exclusive and limited 
  53.         right to modify those portions of the SOFTWARE PRODUCT that are 
  54.         provided in source code form in the directory structure 
  55.         <WCEDREAMCASTROOT>\samples, all in accordance with the terms of 
  56.         this License and solely for the  development and testing purposes 
  57.         described in Section 1(a) above.
  58.  
  59.     d.  Separate License Agreements Required for Distribution.  The 
  60.         Software Product and its documentation contain instructions for 
  61.         distribution of certain operating system components with your 
  62.         Product.  Notwithstanding any such instructions, you may not 
  63.         distribute any Software Product components or your Product until 
  64.         such time as you have entered into a separate license agreement 
  65.         authorizing such distribution with Microsoft Corporation and 
  66.         Sega has approved your Product for distribution and publication 
  67.         on the Sega Dreamcast game console.  By accepting the terms of 
  68.         this License, you acknowledge that Microsoft or Sega have no 
  69.         obligation to enter into such distribution and publication 
  70.         arrangements and unless such arrangements are made, you may be 
  71.         unable to make use of your Product in any way.  The terms of 
  72.         the separate license agreement are subject to change.  Please 
  73.         contact your Microsoft representative at the address for your 
  74.         territory for the latest information and additional instructions.
  75.  
  76. 2.  DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS. 
  77.  
  78.     a.  Academic Edition Software. If the SOFTWARE PRODUCT is identified 
  79.         as "Academic Edition" or "AE," you must be a "Qualified 
  80.         Educational User" to use the SOFTWARE PRODUCT. To determine 
  81.         whether you are a Qualified Educational User, please contact 
  82.         the Microsoft Sales Information Center/One Microsoft Way/
  83.         Redmond, WA 98052-6399 or the Microsoft subsidiary serving 
  84.         your country.  If you are a Qualified Educational User, you may 
  85.         either (i) exercise the rights granted in Section (1), OR 
  86.         (ii) if you intend to use the SOFTWARE PRODUCT solely for 
  87.         instructional purposes in connection with a class or other 
  88.         educational program , you may install a single copy of the 
  89.         SOFTWARE PRODUCT on a single computer for access and use by 
  90.         an unlimited number of student end users at your educational 
  91.         institution, provided that all such end users comply with all 
  92.         other terms of this License.
  93.  
  94.     b.  Not for Resale Software. If the SOFTWARE PRODUCT is labeled 
  95.         "Not for Resale" or "NFR," then, notwithstanding other sections 
  96.         of this License, you may not resell, or otherwise transfer for 
  97.         value, the SOFTWARE PRODUCT.
  98.  
  99.     c.  Limitations on Reverse Engineering, Decompilation, and 
  100.         Disassembly. You may not reverse engineer, decompile, or 
  101.         disassemble the SOFTWARE PRODUCT, except and only to the extent 
  102.         that such activity is expressly permitted by applicable law 
  103.         notwithstanding this limitation.
  104.  
  105.     d.  Separation of Components. The SOFTWARE PRODUCT is licensed as 
  106.         a single product. Its component parts may not be separated 
  107.         for use on more than one computer.
  108.  
  109.     e.  Rental. You may not rent, lease, or lend the SOFTWARE PRODUCT.
  110.  
  111.     f.  Support Services. Microsoft or Sega may provide you with 
  112.         support services related to the SOFTWARE PRODUCT ("Support 
  113.         Services"). Use of Support Services is governed by the 
  114.         Microsoft policies and programs described in the user manual, 
  115.         in "online" documentation, and/or in other Microsoft-provided 
  116.         materials. Any supplemental software code provided to you as 
  117.         part of the Support Services shall be considered part of the 
  118.         SOFTWARE PRODUCT and subject to the terms and conditions of 
  119.         this License. With respect to technical information you 
  120.         provide to Microsoft as part of the Support Services, 
  121.         Microsoft may use such information for its business purposes, 
  122.         including for product support and development. Microsoft will 
  123.         not utilize such technical information in a form that 
  124.         personally identifies you.
  125.  
  126.     g.  Software Transfer. You may make a single permanent transfer 
  127.         of all of your rights under this License, provided you retain 
  128.         no copies, you transfer all of the SOFTWARE PRODUCT (including 
  129.         all component parts, the media and printed materials, any 
  130.         upgrades, this License, and, if applicable, the Certificate of 
  131.         Authenticity), and the recipient agrees to the terms of this 
  132.         License. If the SOFTWARE PRODUCT is an upgrade, any transfer 
  133.         must include all prior versions of the SOFTWARE PRODUCT.  Your 
  134.         transferee may not further transfer the SOFTWARE PRODUCT.  If 
  135.         any component of the SOFTWARE PRODUCT or any of its components 
  136.         is marked "Prerelease" or "Beta", you may not transfer the 
  137.         SOFTWARE PRODUCT.

  139.     h.  Termination. Without prejudice to any other rights, Microsoft 
  140.         may terminate this License if you fail to comply with the terms 
  141.         and conditions of this License. In such event, you must destroy 
  142.         all copies of the SOFTWARE PRODUCT and all of its component parts.

  144. 3.  COPYRIGHT. All title and copyrights in and to the SOFTWARE PRODUCT 
  145.     (including but not limited to any images, photographs, animations, 
  146.     video, audio, music, text, and "applets" incorporated into the 
  147.     SOFTWARE PRODUCT), the accompanying printed materials, and any copies 
  148.     of the SOFTWARE PRODUCT are owned by Microsoft or its suppliers. The 
  149.     SOFTWARE PRODUCT is protected by copyright laws and international 
  150.     treaty provisions. Therefore, you must treat the SOFTWARE PRODUCT 
  151.     like any other copyrighted material except that you may install the 
  152.     SOFTWARE PRODUCT on a single computer provided you keep the original 
  153.     solely for backup or archival purposes. You may not copy the printed 
  154.     materials accompanying the SOFTWARE PRODUCT.
  155.  
  156. 4.  DUAL-MEDIA SOFTWARE. You may receive the SOFTWARE PRODUCT in more 
  157.     than one medium. Regardless of the type or size of medium you 
  158.     receive, you may use only one medium that is appropriate for your 
  159.     single computer. You may not use or install the other medium on 
  160.     another computer. You may not loan, rent, lease, or otherwise 
  161.     transfer the other medium to another user, except as part of the 
  162.     permanent transfer (as provided above) of the SOFTWARE PRODUCT.
  163.  
  164. 5.  U.S. GOVERNMENT RIGHTS.  All SOFTWARE PRODUCT provided to the U.S. 
  165.     Government pursuant to solicitations issued on or after December 
  166.     1, 1995 is provided with the commercial rights and restrictions 
  167.     described elsewhere herein.  All SOFTWARE PRODUCT provided to the 
  168.     U.S. Government pursuant to solicitations issued prior to December 
  169.     1, 1995 is provided with RESTRICTED RIGHTS as provided for in FAR, 
  170.     48 CFR 52.227-14 (JUNE 1987) or FAR, 48 CFR 252.227-7013 (OCT 1988), 
  171.     as applicable.

  173. 6.  EXPORT RESTRICTIONS. You agree that you will not export or 
  174.     re-export the SOFTWARE PRODUCT, any part thereof, or any process or 
  175.     service that is the direct product of the SOFTWARE PRODUCT (the 
  176.     foregoing collectively referred to as the "Restricted Components"), 
  177.     to any country, person or entity subject to U.S. export restrictions. 
  178.     You specifically agree not to export or re-export any of the 
  179.     Restricted Components (i) to any country to which the U.S. has 
  180.     embargoed or restricted the export of goods or services, which 
  181.     currently include, but are not necessarily limited to Cuba, Federal 
  182.     Republic of Yugoslavia (Serbia and Montenegro),Iran, Iraq, Libya, 
  183.     North Korea, Sudan and Syria, or to any national of any such country, 
  184.     wherever located, who intends to transmit or transport the Restricted 
  185.     Components back to such country; (ii) to any entity who you know or 
  186.     have reason to know will utilize the Restricted Components in the 
  187.     design, development or production of nuclear, chemical or biological 
  188.     weapons; or (iii) to any entity who has been prohibited from 
  189.     participating in U.S. export transactions by any federal agency of 
  190.     the U.S. government. You warrant and represent that neither the BXA 
  191.     nor any other U.S. federal agency has suspended, revoked, or denied 
  192.     your export privileges.

  194. MISCELLANEOUS

  196. If you acquired this product in the United States, this License is 
  197. governed by the laws of the State of Washington.
  198.  
  199. If you acquired this product in Canada, this License is governed by 
  200. the laws of the Province of Ontario, Canada. Each of the parties hereto 
  201. irrevocably attorns to the jurisdiction of the courts of the Province 
  202. of Ontario and further agrees to commence any litigation which may 
  203. arise hereunder in the courts located in the Judicial District of York, 
  204. Province of Ontario.
  205.  
  206. If this product was acquired outside the United States, then local law 
  207. may apply.
  208.

  219. LIMITED WARRANTY. Except with respect to the REDISTRIBUTABLES, which are 
  220. provided "as is," without warranty of any kind,  Microsoft warrants that 
  221. (a) the SOFTWARE PRODUCT will perform substantially in accordance with 
  222. the accompanying written materials for a period of ninety (90) days from 
  223. the date of receipt, and (b) any Support Services provided by Microsoft 
  224. shall be substantially as described in applicable written materials 
  225. provided to you by Microsoft. To the extent allowed by applicable law, 
  226. implied warranties on the SOFTWARE PRODUCT, if any, are limited to ninety 
  227. (90) days. Some states/jurisdictions do not allow limitations on duration 
  228. of an implied warranty, so the above limitation may not apply to you.
  229.  
  230. CUSTOMER REMEDIES. Microsoft's and its suppliers' entire liability and 
  231. your exclusive remedy shall be, at Microsoft's option, either (a) return 
  232. of the price paid, if any, or (b) repair or replacement of the SOFTWARE 
  233. PRODUCT that does not meet Microsoft's Limited Warranty and that is 
  234. returned to Microsoft with a copy of your receipt. This Limited Warranty 
  235. is void if failure of the SOFTWARE PRODUCT has resulted from accident, 
  236. abuse, or misapplication. Any replacement SOFTWARE PRODUCT will be 
  237. warranted for the remainder of the original warranty period or thirty (30) 
  238. days, whichever is longer. Outside the United States, neither these 
  239. remedies nor any product support services offered by Microsoft are 
  240. available without proof of purchase from an authorized international 
  241. source.
  242.  
  243. NO OTHER WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY 
  244. APPLICABLE LAW, MICROSOFT AND ITS SUPPLIERS DISCLAIM ALL 
  245. OTHER WARRANTIES AND CONDITIONS, EITHER EXPRESS OR 
  246. IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES 
  247. OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR 
  248. PURPOSE, TITLE AND NON-INFRINGEMENT, WITH REGARD TO THE 
  249. SOFTWARE PRODUCT, AND THE PROVISION OF OR FAILURE TO 
  250. PROVIDE SUPPORT SERVICES. THIS LIMITED WARRANTY GIVES 
  251. YOU SPECIFIC LEGAL RIGHTS. YOU MAY HAVE OTHERS, WHICH 
  252. VARY FROM STATE/JURISDICTION TO STATE/JURISDICTION.

  254. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED 
  255. BY APPLICABLE LAW, IN NO EVENT SHALL MICROSOFT OR ITS 
  256. SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT,

  262. SERVICES, EVEN IF MICROSOFT HAS BEEN ADVISED OF THE 
  263. POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, MICROSOFT'S ENTIRE 
  264. LIABILITY UNDER ANY PROVISION OF THIS LICENSE SHALL BE 
  265. LIMITED TO THE GREATER OF THE AMOUNT ACTUALLY PAID BY YOU 
  266. FOR THE SOFTWARE PRODUCT OR U.S.$5.00; PROVIDED, HOWEVER,
